ASSOCIATION (VAOA) has been formed on 15.08.2015.

2. I forward herewith the Memorandum and Bye-Laws of the said


Association.

3. I remit herewith a sum of Rs.2, 550/- (Two Thousand Five Hundred and
Fifty) being the fee (enclose with Demand Draft No. 245642, enclosed)
for the Registration of the Association.

4. I am a Member of the Committee of the Association.

5. I have been duly authorized to file papers for the purpose of registration
by the Committee of the Association.

6. The Association may please be registered and the Certificate of


registration be issued.

5. Objectives of the Association:


1. To look after welfare and needs of the owners of the various flats /
apartments comprised in the complex.

2. To ensure provision of facilities for peaceful and convenient living in the


complex by the residents as assured by the builder.

3. To promote harmony and welfare of the members.

4. To establish and carry on, on its own accord or jointly with individuals or
institutions, educational, physical, social and recreational activities for
the benefit of the members of the Association.

5. To provide means of social interaction among the members and to hold


and arrange conventions and meetings for discussion on matters of
common interest of the members of the Association and others
referred to above.

6. To address itself to all kinds of issues relating to maintenance of all


common areas and/or facilities and/or amenities, including but not
limited to common pathways, lighting, water, sewage, sanitation,
landscaping, planting and nurturing of trees and plants, etc., with the
members of the association may use and enjoy in the “Valencia
apartments”

7. To maintain in good condition and order the Apartment Complex called


“Valencia” situated at Natham Link Road, Egattur Village, Navallur,
Chennai, Kancheepuram District – 600 130, which consists of basement
+ stilt + 4 floors + terrace and Block consists of Gym, Swimming pool,
recreation room and keep all common amenities and properties of the
same such as entrances, staircases, water pipe lines, drainage
pipes/lines, electricity transformers, diesel generators and all allied
amenities and facilities.

8. To arrange for periodical repairs including replacement (if any) and


painting of interior and exteriors of the “Valencia” and make periodical
payments for common electricity and water consumed by all
owners/occupants and pay any and all taxes, levied/payable in respect
of all common areas/facilities/amenities at “Valencia” including but not
limited to water & sewerage taxes.

9. To cover any of the above mentioned common areas and facilities under
maintenance contract for providing security services, housekeeping, etc.

10. To communicate information and notifications of the Government and


other statutory bodies issued from time to time in respect of matters
relating to common in nature and concerning the apartments in the
complex.

11. To assist in getting technical and other services relating to matters


common in nature concerning the apartments in the complex.

12. To take up such matters as are necessary and just with and to appear or
represent the Association/its members before the Government, the
Corporation, the Electricity Board, Courts of law, Judicial, quasi-Judicial
and other statutory bodies or tribunals or various matters concerning or
affecting the interest of the Association/ its members including
safeguarding properties in the complex and other properties that may
be acquired in future and to take such steps as are found necessary and
feasible in this regard.

13. To organize and conduct either on its own or jointly in collaboration


with individuals or association, activities of social, cultural, educational,
sports and games, physical cultures, musical concerts, discourses on
religious matters, for the benefit of the members and others living in the
complex.

14. To do all acts and things as are incidental, consequential and conducive
to the attainment of the above mentioned objects and other matters of
common interest, which may arise from time to time, not specifically
provided or mentioned in these presents and relating to the needs and
welfare of the members of the Association and others living in the
complex.

15. The above mentioned objectives shall be carried for all the residents and
owners of the VALENCIA APARTMENTS irrespective of cast, race or
community.

16. The association shall not carry on any activity with any intention to earn
profit.

17. To carry on the day-to-day work relating to all aspects of the building,
apartments, common areas, common facilities and common services
therein.

18. To promote and conduct activities of Literacy, Culture, Social OR


Charitable nature and conduct research in such fields to acquaint with
cultural heritage.

19. To promote welfare programs of the Owners and civic amenities of the
area and welfare of the members.

20. To do all such things, which are necessary or otherwise provide for the
welfare being expedient for the attainment of the objects specified in
these bye-laws?

21. To raise funds through membership, subscription, donations and so on


for the management of the affairs of the association and to invest or
utilize such money, amongst other things, maintaining, operating,
improving, or protecting the common areas and facilities.

22. To create and maintain one or more Bank accounts into which all
income and other funds belonging to the association are credited to
invest these funds in approved financial instruments as permitted from
time to time and to apply funds for the attainment of the objects
specified here in and for the benefit of the members of the association.

23. To take lawful steps for recovery of arrears/dues from any owner(s) /
resident(s) of areas within the property known as “Valencia”

24. To prevent the usage of common areas for parking of vehicles, storage
of any materials/equipment etc.,

25. To take steps for prevention of garbage, waste, etc., being thrown or
disposed of at any places other than at the places / receptacles / bins
provided for such purpose.

26. To collect compensation for any damage to the common areas and
facilities caused by any negligence or by any deliberate act on the part
of the respective owner or on the part of the respective owners family
members, guests, children, domestic help/employees/drivers/agents/
tenants.

27. To regulate repair / renovation / modification / installation works or


noisy activities in members exclusive areas which unduly disturb
occupants of neighboring areas using unreasonable hours or which pose
a hazard or pollute the users of nearby common areas or neighboring
areas.

28. To obtain undertakings from all members that any sale or lease or
transfer of the respective areas / flats will be effected only after all his /
her / their dues to the association are settled in full and after
prospective transferee(s) has been made aware of and consented to be
bound by the objects and rules of the association.

29. To fix responsibility for the payment of the monthly maintenance


charges / fees for the respective member’s on the member(s) and/or
their tenants if any for the occupied/unoccupied apartment.

30. To ensure that no sign board or advertisements of any kind is displayed


in the interior or exterior of the property known as “Valencia” expecting
however the personal name boards of the members near the entrance
and on / next to member’s exclusive property.

31. To pay the charges, levies and deposits for service or utility connection
provided to common areas or for the common purposes / usage of all
the members.

“VALENCIA APARTMENT OWNERS ASSOCIATION (VAOA)” for the purpose and
objectives specified in the memorandum and we are willing to register the same
under the Tamil Nadu societies Registration Act.1975 (Tamil Nadu Act of 1975)
and / Tamil Nadu Apartment ownership Act, 1994.

5. SHORT TITLE:

a. These bye-laws may be called the Bye-Laws of the “Valencia Apartment


Owners Association”.

b. The provisions of these bye-laws apply to the “Valencia Apartment


Owners Association” for the management for which the apartment
owners have formed the “Valencia Apartment Owners Association”

c. All present or future owners, tenants, future tenants or any other


person who might use these facilities of the building for residential
purposes, or subject to the regulations set forth in these bye-laws.

d. The mere acquisition on rental or lease of any apartment of the building


or mere act of any occupancy of any of the apartments will signify that
these bye-laws are accepted, ratified and will be complied with.

6. INTERPRETATION:
In these bye-laws, unless repugnant to or inconsistent with the context, the
following terms shall have the respective meanings ascribed thereto:-

a. “Act” means the Tamil Nadu Societies Registration Act, 1975 (Tamil
Nadu Act XXVII of 1975) and/or the Tamil Nadu Apartment Ownership
Act, 1994 or any statutory modification thereof or any succession
thereto for the time being in force in State of Tamil Nadu, as the case
may be.

b. “Approval” means a matter passed by simple majority of the Members


of the General Body/Executive Committee through an Ordinary
Resolution.

c. “General Body” means the Members of the Association present at any


meeting convened by the Association.

d. “Executive Committee” means the person elected by the General Body


for the purpose of the management and administration of the day-to-
day affairs of the Association. The Executive Committee shall consist of a
President, Vice-President, Secretary, Joint-Secretary, treasurer and
Sixteen (16) Executive members

e. “Member” means all persons who own flat(s) in the apartment called as
“Valencia” (or) authorized family members by the owner(s)

f. “Owner” means the person owning an apartment in the “Valencia”

g. “Rules” means the Tamil Nadu Societies Registration Rules, 1975 or any
statutory modification or re-enactment thereof notified under the Act.

h. “Association” means the “Valencia Apartment Owners Association”

i. “Special Resolution” means a Resolution passed by a majority of not less


than three-fourths of such Members of the Association who are entitled
to vote thereat as are present either in person or by proxy at a duly
convened General body meeting, the notice whereof specifies the
intention to propose the resolution as a “Special Resolution”

and on / next to member’s exclusive property.

31. To pay the charges, levies and deposits for service or utility connection
provided to common areas or for the common purposes / usage of all
the members.

8. MEMBERSHIP: The Association shall have basically Owners of Flat in


VALENCIA APARTMENTS at Creations Valencia, Egattur, Natham Link Road,
Navallur, Chennai, Kancheepuram District 600 130 who is interested above
the age of 18 years shall be.

9. Subscription :
a. Every member shall pay maintenance charges at the rate of Rest. 2.50/-
per Sq.

b. An admission (Entrance) fee of Rs.500/- shall be paid at the time of entry


to the Association.

c. Special subscription for specific purposes may be collected from the


members, if so decided by the executive committee.

d. Any member who fails to pay his/ her monthly subscription for more
than 3 months consecutively shall automatically cease to be a member
and shall forfeit his claim to any benefit from the organization from the
date of ceasing to be a member.

10.RESTRICTIONS, CONDITIONS & CONTRIBUTIONS OF MEMBERS:

a. The General Body shall have the right to reject any application made
for membership without assigning any reason.

b. The General Body may from time to time, frame the policies for
admission of Members. The policies, interlaid, may provide for
scrutinizing the veracity of the application made for membership.

c. The members shall pay/contribute the following:

i. Monthly maintenance charges and

ii. Any other sums, as fixed by the General Body from time to
time.

All members to pay and continue to pay all charges, fees and
contributions to the Association. Even persons, who due to
suspension, expulsion or otherwise lose their right, temporarily or
permanently to be present at, participate in and/or vote at the
General Body meetings, will have to continue to pay charges, fees
and contributions to the Association.

The General Body may, from time to time, fix the due dates for the
payment of the sums due to by Members and may determine the
manner of dealing with arrears of payment which may include:

a) Imposition of fine and penalty

b) Suspension of membership, and

c) Removal of member for persistent default.

11.A MEMBER SHALL CEASE TO BE A MEMBER OF THE ASSOCIATION :

i) On death of member

ii) On leaving by resignation

iii) On sale his / her flat to another

iv) On conviction by a court of law in a criminal case of any offense


involving moral turpitude.

v) Conducts himself in a manner unbecoming of a member of the


Association is considered ineligible.

vi) If a resignation is tendered to the President of the organization

vii) If maintenance charges for 3 months of dues to the organization is


not made within two weeks being called by the Secretary.

12. RIGHTS OBLIGATIONS AND PRIVILEGES OF THE MEMBERS:

i) Any member is eligible to contest for any office bearer of the


Managing committee provides he/she has been a member for at least
a period of 6months to the date of election.

ii) Any member of the organization shall have the right to present to the
Executive Committee any grievances or suggestions which shall be
considered by the Executive Committee.

iii) Any member shall have the right to inspect any register, document
and accounts provided 48 hours advance notice given in writing to
the Secretary.

iv) Any member has the right to receive annual accounts and other
documents.

13. OBLIGATIONS OF MEMBERS:

All members shall:

a. Observe the rules and regulations of the Association.

b. Promptly pay all maintenance charges, fees, dues and contributions


to the Association.

c. Conduct themselves in a manner befitting the status and standing of


the Association

d. Not to do or omit to do anything which would affect the smooth


functioning of the Association or cause undue hardship to the
Association or its members

e. Not steal or embezzle any money or other property or willfully or


maliciously destroy or injure any property of the Association or
execute any deed, bond, and security for money, receipt or other
instrument whereby the funds of the Association may be exposed to
loss

f. Notwithstanding anything contained herein but subject to the


provisions of the Act, and the Rules, no action would be taken against
any member for any act done in good faith in the course of
discharging his/her role in the Association.

14. MANAGEMENT:

i) The management of the organization shall vest in a Managing


Committee consisting of One President, One Vice President, One
Secretary, One joint Secretary, One Treasurer and Sixteen Executive
Committee members.

ii) President, Vice President, Secretary, Joint Secretary, Treasurer and


executive members shall be elected by members of the organization
through Election. The Managing Committee shall appoint returning
officers for this purpose. Returning officer shall call for nominations
and conduct election. He will submit the list of elected candidates to
the General Body in its annual meeting, except under circumstances
stated in clause 7(iv).

iii) The members of the Managing Committee shall hold office for a
period of three years and /or until such time a new committee is
elected were not held within three months of the dates of the expiry
of this term, they would cease to be duly elected representative of
the Association.

iv) All office bearers shall be elected by the members of the organization
either by show of hands or through secret ballot once in a year.

v) All members whose names appear in their membership register as on


last date of previous month of election shall be eligible to exercise
his/her vote or to contest the election.

vi) In case of any interim vacancy/vacancies of the post of the office


bearers, the committee shall decide whether the vacancy/vacancies
are to be filled at that time or at the next annual election. The
committee shall have power to fill up the vacancy/vacancies or
ordinary committee by co-option. Such co-opted member is eligible
to function till next annual election is held.

vii) The procedure for interim election for any post shall be as stated in
clause 7(ii), except that the returning officers will submit Executive
Committee.

15. MANNER IN WHICH THE ASSOCIATION SHALL TRANSACT ITS BUSINESS

The Management of Association and its activities shall vest in an


Executive Committee consisting of the following One President, One Vice
President, One Secretary, One Joint Secretary, One treasurer and Sixteen
Executive Committee Members. The Executive committee shall in addition
to exercise the powers specifically given hereunder, do all such acts and
things which it considers are necessary for the benefit of the members of
the Association.

16. CONSTITUTION/MEETINGS OF THE EXECUTIVE COMMITTEE:

a. The executive Committee members shall hold office for a period of


one year.

b. Any member who wishes to contest for the post of an office bearer
of the Executive committee shall express his/her willingness in
writing. Such a member shall be proposed by a member and
seconded by another in writing.

c. There is no restriction on a member seeking re-election any number


of times.

d. A member of the Executive committee may be removed by a Special


Resolution as per Provisions of section 2(i) of the Act.

e. Any member of the executive committee who is absent for three


consecutive meetings without previous intimation to the executive
Committee or without sufficient reason shall cease to be a
committee member thereof unless of Executive Committee decides
otherwise.

f. The executive Committee shall meet at least once in every three


months to conduct the affairs of the association. Such meetings shall

normally be held at the office of the association. However, the


meetings may be held at any other convenient place as may be
decided by the executive Committee.

g. The quorum for a meeting of the Executive Committee shall be two


third.

h. Notice of the intended meeting shall be given at least seven days


before the meeting is held. A shorter notice shall be valid if ratified
by a majority of the Executive Committee members present at the
meeting.

i. A resolution by circulation signed by all the members of the


Executive Committee shall be taken to be valid and effectual, as if the
same had been passed at the meeting of the said Executive
Committee regularly convened and held such a resolution shall be
ratified at the subsequent meeting of the Executive Committee.

17.POWERS OF THE EXECUTIVE COMMITTEE:

The Executive Committee will have powers:

i) To admit members.

ii) To prescribe, from time to time, the strength of the establishment of


the association and lay down service conditions, scales of pay and
allowances and wages for each type of maintenance of work, within
the budget allotment sanctioned by the Executive Committee.

iii) To appoint Manager – administration, Clerk, Sweeper, electrician and


such other staff who are required for the maintenance of the
complex on such terms and conditions as they may deem fit and
determine.

iv) To appoint suspend and terminate staff of the Association or other


paid employees working under the association.

v) To take legal proceedings or defend against any person in respect of


the affairs of the Association.

vi) To appoint advocate, auditor etc., in respect of the affairs of the


Association and to pay their remuneration.

vii) To collect subscriptions, security deposits, maintenance charges or


donations and acknowledge the receipt.

viii) To incur expenses for maintenance and carrying out the objects of
the Association.

ix) To raise loans from banks for the purpose of carrying out the objects
effectively.

18.PRESIDENT:

i. The President shall be the Executive head of the Association.

ii. He shall preside over all the meetings of the Executive Committee
General Board Meetings and has power to Vote any action which is
beneficial to the Association.

19. VICE PRESIDENT:

If in a meeting of the Executive Committee the President is absent,


the Vice President shall preside the meeting.

20.SECRETARY:

The Secretary shall perform the following functions.

i) He shall carry on all correspondence on behalf of the Association

ii) He shall issue notice of meetings and maintain the record of the minutes
of all such meetings.

iii) He shall carry out any other duties, which may be entrusted to him by the
Executive Committee.

iv) He shall convene all meetings of the association and shall record the
proceedings of all such meetings.

v) He shall carry out the resolutions of the Executive Committee and he will
be responsible for the proper conduct and management of the
Association in general.

vi) He shall prepare the Annual Report of the Association under the
guidance of the Executive Committee.

vii) He shall also scrutinize and sanction routine items of expenditure such
as salaries, printing, stationery etc., and all general expenses.

viii) He shall incur such items of expenses as in eh approved budget and


as passed by the Executive Committee.

ix) He shall have complete control of the office and staff of the
Association in concurrence with the consent of the Executive
Committee.

x) He is authorized to appear before any court/tribunal or authority


whomsoever representing the Association.

xi) He is entitled to sue or to be sued on behalf of the Association.

21. JOINT SECRETARY:

The joint secretary shall assist the Secretary in his/her duties and shall act for
his/her absence.

22.TREASURER:

i. He shall arrange to maintain Account books, Bank Account, Vouchers,


Files, Cash Book, Receipt Books, Ledger and other accounting records.

ii. He shall be the custodian of all the moneys and of all the accounts.

iii. He along with the President or the Secretary is entitled to operate the
Bank Account.

iv. He is entitled to receive the membership charges and other charges


from the members and donations from others and to sign receipts
thereof on behalf of the Association.

v. He shall remit all the amounts received by him in any nationalized bank
account as decided by the Executive Committee and is entitled to retain
a sum of Rs.10,000/- in cash to meet petty expenses.

vi. He is entitled to pay the salaries to the staff or any person employed for
the work of the Association and obtains necessary vouchers.

vii. He shall submit the audited income and expenditure statement every
year in the Annual General Body meeting of the Association.

viii. He will ensure that the monetary transactions, as far as possible are
done through bank accounts and cash transactions are kept to the bare
minimum.

23.FINANCIAL YEAR, ACCOUNTS AND AUDIT:

i. The Financial year of the Association shall commence from the 1st
day of April every year and end on the 31st day of March of the
subsequent year.

ii. All the accounts to be audited by two internal Auditors elected by the
Annual General Body Meeting. The auditors shall be independent
officer and shall be answerable only to General Body. They shall
verify all the accounts of the organization and ensure that the funds
of organization are spent only for the achievements of the aims and
objects of the organization and those proper accounts have been
maintained.

iii. Any interim vacancy arising out of the designation are otherwise of
the internal auditors shall be filled up by the co-option the Executive
Committee and other co-opted Auditor shall remain in office until
the next annual General Body Meeting.

24. ANNUAL REPORTS:

The Secretary shall submit to the annual General Body meeting a report of
the work done by the Association, together with the Statement of accounts
showing all monies received and spent during the previous financial year and
a Balance Sheet containing a summary of the assets and liabilities of the
Association and Receipt and Expenditures, Accounts made up to the previous
year ending 31st March duly audited by the Association’s Auditor. A Copy of
the annual Report and the audited balance sheet and Receipt and
Expenditure Account, together with the auditor’s report thereon, signed by
at least two members of the Executive Committee and counter signed by the
Secretary and President shall be sent to every member of the Association not
less than 14 days prior to the Annual General Body meeting.

25.BANK ACCOUNT:

The Accounts may be opened in a Nationalized bank in the name of the


Association has decided by the Executive Committee and shall be operated
by the Treasurer jointly with the President or the Secretary.

26.ACCOUNT BOOKS:

i. The account books, vouchers, receipts, other papers and documents


of the Association shall be kept at the office of the Association.

ii. The accounts of the Association shall be maintained by the Treasurer


beginning from the date of the functioning of the society.

27. SUPPLY OF COPIES OF BYE-LAWS ETC.,

A copy of the bye-laws of the Association shall be supplied free of charge to all
persons on being admitted as members. Additional copies, if required shall be
supplied to the members, on demand, on payment of Rs.20/- per page copy.
Similarly, additional copies of Balance Sheet and Receipt and Expenses Account
shall also be supplied to members, on demand, on payment of Rs.20/- per copy.

28. SEAL:

The Executive Committee shall provide for the common seal of the Association.
The seal shall be deposited with the President or the Secretary and shall have to
be affixed in the presence of the Secretary in pursuance of the resolution passed
by the Executive Committee or the Association in the General Body meeting.

29.GENERAL BODY MEETINGS:

a) THE ANNUAL GENERAL BODY MEETING of the Association shall be held,


after the closing of the accounts of the Association, which date shall be the
31st March of each year, to transact the following business:- To receive the
Annual Report, Balance Sheet and Auditor’s Report.

b) To elect office bearers of the Association.


c) To appoint Auditor or Auditors and fix his/their remuneration.
d) The quorum for all General Body Meetings, whether Annual or Extra
Ordinary, shall be 2/3 Members.

e) EXTRA-ORDINARY GENERAL BODY MEETING:

f) The Executive Committee may at any time call an Extra ordinary General
Body Meeting of the Association and shall call such meeting within one
month from the date of receipt of requisition from at least 1/3 members of
the Association If the Meeting is not called in accordance with such
requisition, the Members shall have power to call such meeting duly
complying with the requirements of the Act.

g) NOTICE FOR THE GENERAL BODY MEETINGS:

h) Notice of every such General Body Meetings shall be given to all members
21 days before the meeting. The notice shall contain the day, time and
place and the object of the meeting and in case any amendment of a bye-
law or objects contained in the Memorandum is intended to be proposed,
it shall contain a copy of every such amendment.
i) The notice shall be sent to the members by one or more of the following
viz., either by hand delivery or by circulation or by post the Notice shall also
be affixed to the Notice Board of the Association.

j) SPECIAL RESOLUTION:

a. Special Resolution is a resolution passed by a majority of not less


than 3/4 of the members of the Association entitled to vote are
present in person at a General Body meeting of which a notice of not
less than 21 days specifying the intention to pass the resolution has
been duly given. Provided that if all the members entitled to vote at
any such meeting so agree a resolution may be passed as a Special
Resolution at a meeting of which a notice of less than the period
prescribed under this article has been given.

b. The following subjects require special resolutions:-

k) Amendment to the objects relating to the Memorandum of Association


l) Amendments to the bye-laws of the Association.
m) Investments and utilization of capital Fund.
n) Amalgamation or merger of the Association with the other entity.

VOTE:
a. Every member present at the meeting in person shall have one vote.
Member can appoint a proxy by authorization letter, but the said
proxy is entitled to vote only and has no right to contest for
committee membership or any other position as office bearer.

30.NOTICE TO ASSOCIATION:

a. An owner, who mortgages/leases/rent out his apartment, shall notify


the Association through the Secretary/Joint-Secretary of the
Executive Committee the name and Address of the party to whom
the flat has been mortgaged/leased out/let out and the Secretary
shall maintain all such information in a book entitled mortgages of
apartments.

b. An apartment owner(s) shall notify to the Association of his/her


intention to conclude a sale, lease or mortgage agreement in respect
of this/her flat an in such case he/she shall pay all the unpaid
assessment of the Association including interest if any on such
outstanding balance.

31.USE OF FLATS AND INTERNAL CHANGES:

a. No Flat owner/tenant carry on at any time, or suffer to be carried on,


in the flat or any part thereof any trade, business or profession of
commercial nature, any noisy, offensive or dangerous trade or
pursuit which may become in any way of nuisance, hindrance,
annoyance of danger to the owners, occupiers or any neighboring
property or which may tend to depreciate the value of said flats or
any part there of as residential property.

b. All flats shall be utilized for private residential purpose only, either
using or letting out any apartment for any non-residential, public or
commercial purpose whatsoever including, but not limited to

purposes such as service apartments, office, hostel, hotel, lodge etc.,


is prohibited. No apartment owner shall lease, mortgage, or give
possession of the duly owned basement car parking area in the
apartment, to a person who is not a resident of the building.

c. No fire arms will be allowed inside the compound. People in


possession should submit a copy of the license to the Association and
submit the renewed license from time to time.

d. All owner(s) will inform the Executive Committee prior to letting out
the flat and also provide details of the tenant along with proof of
tenant’s identity. He/she should ensure that tenant abides to the
rules of the Association. Sub-letting of the apartments will be
prohibited.

e. If the tenant(s) do not abide by the rules of the association / create


nuisance, the owner(s) should take necessary action to vacate the
tenant within 30 days from the notification from the Executive
Committee.

f. An owner shall not make any Structural modifications or Alterations


in his/her flat or installations located therein without previously
notifying the Association in writing, through the Secretary of the
Management committee. The Association shall have the obligation to
answer within thirty days and failure to do so within the stipulated
time shall mean that there are no objections to the proposed
modification, alteration.

g. Rental agreement / let-out agreement – in order to keep


communication / guidance / response simple and common to all
residence, Association will format and control the standard
agreement which is mandate for all such rental/let-out transactions
of Valencia.

h. Each member shall give the list of persons who are permanently
residing at the aforesaid address and update whenever there is a
change.

i. If any immoral or antisocial or subversive activity is carried out in any


flat or other places within the complex the association will be within
its rights to restrict and prevent undesirable persons indulging in
such activities from entering the complex.

32.USE OF COMMON AREA AND FACILITIES AND RESTRICTED COMMON FACILITIES:

a. An owner shall not place or cause to be placed any furniture,


packages or objects of any kind of the lobbies, vestibules, stairways,
elevators and any other common areas of Valencia Apartment and
facilities of similar natures both common and restricted. Such areas
shall be used for no other purpose other than for normal transit
through them.

b. Any vendors, including day to day utility suppliers, to be registered


with association to obtain the NOC for any particular work or service
inside Valencia premise.

33.RIGHT OF ENTRY:

a. An owner shall grant the right of entry to the manager in charge or


any person authorized by Executive Committee of the Association
and in case of any emergency origination in or threatening his flat,
whether the owner is present at the time or not. The Executive
Committee shall take all such measures to protect the flat and the
cost shall be recovered from the owner of the flat. Executive
Committee members together shall decide on the question of
emergency.

b. An owner shall permit other owner’s or their representatives, when


so required by the Secretary or Joint-Secretary of the Association to
enter the flat for the purpose of installing, altering or carrying out

repairs to the mechanical or electrical services, provided that request


for entry is made in advance and that such entry is at a time
convenient to the owner and for a stipulated period. In case of an
emergency, such right of entry shall be immediate, whenever, such
situation arises, four members or the Association belonging to the
respective block collectively shall decide whether there is an
emergency or not.

34.MAINTENANCE AND REPAIRS:

a. All members shall have to pay the estimated maintenance charges


for one month in advance, which is fixed by the Executive Committee
by 5th day at the beginning of that month. In the event of non-
payment of monthly maintenance, 5% interest per month will be
charged to the defaulting member and will be restricted to use the
common facilities. In the event of non-payment, all pending
maintenance charges along with the interest should be borne by the
owner of the flat for the defaulting months. In addition, the
Executive Committee will also take appropriate action against the
defaulting member.

b. Except membership termination, every other restriction would be


waived of upon settlement of pending dues. Membership
reapplication is possible at next AGM and approval subject to AGM.s
decision.

c. Maintenance charges need to be paid irrespective whether the


apartment(s) is occupied or unoccupied.

d. Every owner must perform promptly all maintenance and repair


work within his own flat, which if omitted would affect the Valencia
entirely or flat of other owner(s). However, repairs of Structural
defects either internal or external nature not caused by any specific
act of the owner of the flat shall be the responsibility of the
Association so also the exteriors and common facilities.

e. All the repairs of internal installations of the flats such as water, light,
power, sewage, intercom, sanitary installations, doors, windows,
lamps and all other accessories belonging to the flat area shall be at
the expense of the flat owner concerned

f. An owner shall reimburse the Association for any expenditure


incurred in repairing or replacing any common area facility or his/her
own flat through his fault.

g. Additional charges will be applicable for usage of multipurpose


hall/gym/swimming pool, applicable charges will be arrived by
Executive Committee on time to time basis.

h. Corpus fund – The amount originally collected by Creations (Builder)


from all the owners, later to be handed over to the Association will
be termed as “Corpus Fund”

i. Levy of charges of association:

a) The contribution to be collected from the members of the


Association, towards the maintenance expenses as mentioned
below and for the welfare of the establishment:

i) Water Charges
ii) Common Electricity Charges
iii) Contribution to Repairs and Maintenance Fund
iv) Expenses on repairs and maintenance of the lifts of the association,
including charges for running the lift
v) Contribution to the Corpus Fund
vi) Service Charges if any
vii) Car parking charges if any
viii) Insurance charges
ix) Any other charges as decided and approved in the General Body Meetings.

b) The service charges of the association referred to at vi) above


shall include the following:

i) Salaries of the office staff, security, housekeeping,


watchmen, Gardner and any other employees of the
association.

ii) Where the association has independent office, the


electricity charges, water charges etc. for the same.

iii) Printing, Stationary and Postage. Traveling allowance


and conveyance charges to the staff and the members of
the committee of the association. Audit fees for internal.

iv) Statutory and re-audit, if any,

v) Expenses incurred at meetings of the general body, the


Executive Committee and the Sub-Committee, if any

vi) Retainer fees, legal charges, statutory enquiry fees,

vii) Any other charges approved by the general body at its


meeting.

35.RULES OF CONDUCT:

No resident of Valencia Apartments shall stick or put up any advertisement


or posters of any kind in the premises of Valencia. Name Plate/sign Board
other than placed on main door of the flat will amount to advertisement

a. Residents shall exercise extreme care while making noise or the use
of musical instruments, radios, television and amplifiers that may
disturb others. By 10 p.m. noise from entertainment, which is likely
to disturb neighbors, should stop to ensure peaceful co-existence.
Residents keeping domestic animals shall not be allowed.

b. It is prohibited to dry garments, rugs, etc., from the windows, grills


and corridors or from any façade of Valencia apartment.

c. It is prohibited to throw garbage or trash outside the disposal


installations provided for such purposes in the service area. If such
installation is not provided all garbage or trash shall be collected in a
vessel and thrown in the Municipal Dust Bin.

d. It is prohibited to dust rugs, etc., from the windows or to clean rugs,


car seat, etc., by beating the interior part of the Apartment.

e. No owner, resident or lessee shall install wiring for electrical or


telephone installations, television/intercom machines or air
conditioning flat etc., on the exterior of the Valencia or which may
protrude through the walls of the roof of the condominium except as
authorized by the Association.

f. Watering of plants shall be such that it shall not spill or drop down
the balconies.

g. Every vehicle driver shall keep his/her vehicle at safe speed (say 10
KMPH) while driving in the premises of the building

h. Cleaning of balconies by pouring water and letting the water run into
the common area and also any other apartment owner’s area is
prohibited.

i. Vehicle drivers should not block parked vehicles or parking space


belonging to other owner’s or park their vehicles in drive way.

j. In order to prevent nuisance or obstruction of way or cause


disturbance any heavy duty, medium duty or light carriage vehicle
parking in prohibited in covered or open car parking areas anywhere
inside the compound of the building.

k. In order to prevent unreasonable disturbance to residents of the


building the children playing time in the common area shall be

restricted by the management committee by issuing notification


which shall be strictly adhered to by all the residents / wards / guests
/ servants etc.,

l. The car owner’s shall display emblem given by the Association on the
front windscreen of their cars and prominently on the other vehicles.

m. All visitors should register at the security and obtain a visitor’s pass,
which has to be returned to the security.

n. Security will call up the resident and check the authenticity of the
visitor and then issue visitor pass.

o. All the new Tenants / Purchaser have to check for the dues from the
association and obtain No Objection from the Association.

Children should be discouraged from playing in the lift for their own safety.
Smoking inside the lift and in common areas is strictly prohibited. Spitting pan
in the common areas and staircase is prohibited.

36.EXHIBITION OF REGISTERS:

The Members Register, Minutes Books and Books of Accounts shall be kept
at the registered office of the Association during the business hours, for
inspection by members free of charges. A written requisition at least 24 hours
prior to such inspection is necessary and application in this regard be sent to the
secretary for sanction.

37. INVESTMENT OF FUNDS AND OPERATION OF THE REVENUE ACCOUNTS.

The funds of the Association shall be invested in the Nationalized Bank as


decided by the Executive Committee will be operated jointly by the Treasurer
and President or Secretary.

The Treasurer shall keep an impressed amount of Rs.10,000/- for recurring


expenditure for the conduct of the business of the Association.

The President shall have powers to sanction up to a maximum expenditure


of Rs.5,000/- at a time for a specific purpose but not more than four times in the
calendar year.

The executive shall have powers to sanction expenditure up to a maximum


of Rs.10,000/- at a time and not more than six times in a calendar year in
addition to any amount collected for any specific purpose.

38. DISSOLUTION:

The Association may by special resolution, determine that it shall be dissolved and
thereupon it shall stand dissolved forthwith. If upon dissolution and after
satisfaction of all the debts and liabilities of the Association, assets, if any,
remaining in its name shall not be distributed to the members but shall be passed
on to another registered body, having the same or similar objectives, as may be
determined by the Association.

39.RETURNS :

It shall be the duty of the secretary to attend to the preparation and filing
with the authorities concerned of such records, annual or other periodical
statements, which are specified in the Tamil Nadu societies Registration Act,1975
and the rules made there under.

40.MISCELLANEOUS:

i) The Association shall keep the custody of the original title deeds,
sanctioned plan etc., these documents shall be kept in a bank locker,
hired at the cost of Association, which shall be jointly operated by
the president and the secretary.

ii) In respect of matters and things not expressly provided for herein
above the provisions of the Tamil Nadu societies Registration Act,
1975, Tamil Nadu Apartment Ownership Act 1994 and Rules framed
there under shall apply.
