MEMORANDUM OF ASSOCIATION
1. To look after welfare and needs of the owners of the various flats /
apartments comprised in the complex.
4. To establish and carry on, on its own accord or jointly with individuals or
institutions, educational, physical, social and recreational activities for
the benefit of the members of the Association.
9. To cover any of the above mentioned common areas and facilities under
maintenance contract for providing security services, housekeeping, etc.
12. To take up such matters as are necessary and just with and to appear or
represent the Association/its members before the Government, the
Corporation, the Electricity Board, Courts of law, Judicial, quasi-Judicial
and other statutory bodies or tribunals or various matters concerning or
affecting the interest of the Association/ its members including
safeguarding properties in the complex and other properties that may
be acquired in future and to take such steps as are found necessary and
feasible in this regard.
14. To do all acts and things as are incidental, consequential and conducive
to the attainment of the above mentioned objects and other matters of
common interest, which may arise from time to time, not specifically
provided or mentioned in these presents and relating to the needs and
welfare of the members of the Association and others living in the
complex.
15. The above mentioned objectives shall be carried for all the residents and
owners of the VALENCIA APARTMENTS irrespective of cast, race or
community.
16. The association shall not carry on any activity with any intention to earn
profit.
17. To carry on the day-to-day work relating to all aspects of the building,
apartments, common areas, common facilities and common services
therein.
19. To promote welfare programs of the Owners and civic amenities of the
area and welfare of the members.
20. To do all such things, which are necessary or otherwise provide for the
welfare being expedient for the attainment of the objects specified in
these bye-laws?
22. To create and maintain one or more Bank accounts into which all
income and other funds belonging to the association are credited to
invest these funds in approved financial instruments as permitted from
time to time and to apply funds for the attainment of the objects
specified here in and for the benefit of the members of the association.
23. To take lawful steps for recovery of arrears/dues from any owner(s) /
resident(s) of areas within the property known as “Valencia”
24. To prevent the usage of common areas for parking of vehicles, storage
of any materials/equipment etc.,
25. To take steps for prevention of garbage, waste, etc., being thrown or
disposed of at any places other than at the places / receptacles / bins
provided for such purpose.
26. To collect compensation for any damage to the common areas and
facilities caused by any negligence or by any deliberate act on the part
of the respective owner or on the part of the respective owners family
members, guests, children, domestic help/employees/drivers/agents/
tenants.
28. To obtain undertakings from all members that any sale or lease or
transfer of the respective areas / flats will be effected only after all his /
her / their dues to the association are settled in full and after
prospective transferee(s) has been made aware of and consented to be
bound by the objects and rules of the association.
31. To pay the charges, levies and deposits for service or utility connection
provided to common areas or for the common purposes / usage of all
the members.

5. SHORT TITLE:
6. INTERPRETATION:
In these bye-laws, unless repugnant to or inconsistent with the context, the
following terms shall have the respective meanings ascribed thereto:-
a. “Act” means the Tamil Nadu Societies Registration Act, 1975 (Tamil
Nadu Act XXVII of 1975) and/or the Tamil Nadu Apartment Ownership
Act, 1994 or any statutory modification thereof or any succession
thereto for the time being in force in State of Tamil Nadu, as the case
may be.

e. “Member” means all persons who own flat(s) in the apartment called as
“Valencia” (or) authorized family members by the owner(s)
g. “Rules” means the Tamil Nadu Societies Registration Rules, 1975 or any
statutory modification or re-enactment thereof notified under the Act.

9. Subscription :
a. Every member shall pay maintenance charges at the rate of Rest. 2.50/-
per Sq.

d. Any member who fails to pay his/ her monthly subscription for more
than 3 months consecutively shall automatically cease to be a member
and shall forfeit his claim to any benefit from the organization from the
date of ceasing to be a member.
a. The General Body shall have the right to reject any application made
for membership without assigning any reason.
b. The General Body may from time to time, frame the policies for
admission of Members. The policies, interlaid, may provide for
scrutinizing the veracity of the application made for membership.
ii. Any other sums, as fixed by the General Body from time to
time.
All members to pay and continue to pay all charges, fees and
contributions to the Association. Even persons, who due to
suspension, expulsion or otherwise lose their right, temporarily or
permanently to be present at, participate in and/or vote at the
General Body meetings, will have to continue to pay charges, fees
and contributions to the Association.

The General Body may, from time to time, fix the due dates for the
payment of the sums due to by Members and may determine the
manner of dealing with arrears of payment which may include:
i) On death of member
ii) Any member of the organization shall have the right to present to the
Executive Committee any grievances or suggestions which shall be
considered by the Executive Committee.

iii) Any member shall have the right to inspect any register, document
and accounts provided 48 hours advance notice given in writing to
the Secretary.
iv) Any member has the right to receive annual accounts and other
documents.
14. MANAGEMENT:

iii) The members of the Managing Committee shall hold office for a
period of three years and /or until such time a new committee is
elected were not held within three months of the dates of the expiry
of this term, they would cease to be duly elected representative of
the Association.
iv) All office bearers shall be elected by the members of the organization
either by show of hands or through secret ballot once in a year.

vii) The procedure for interim election for any post shall be as stated in
clause 7(ii), except that the returning officers will submit Executive
Committee.
b. Any member who wishes to contest for the post of an office bearer
of the Executive committee shall express his/her willingness in
writing. Such a member shall be proposed by a member and
seconded by another in writing.
i) To admit members.

viii) To incur expenses for maintenance and carrying out the objects of
the Association.
ix) To raise loans from banks for the purpose of carrying out the objects
effectively.
18.PRESIDENT:
ii. He shall preside over all the meetings of the Executive Committee
General Board Meetings and has power to Vote any action which is
beneficial to the Association.
20.SECRETARY:
ii) He shall issue notice of meetings and maintain the record of the minutes
of all such meetings.
iii) He shall carry out any other duties, which may be entrusted to him by the
Executive Committee.

iv) He shall convene all meetings of the association and shall record the
proceedings of all such meetings.
v) He shall carry out the resolutions of the Executive Committee and he will
be responsible for the proper conduct and management of the
Association in general.
vi) He shall prepare the Annual Report of the Association under the
guidance of the Executive Committee.
vii) He shall also scrutinize and sanction routine items of expenditure such
as salaries, printing, stationery etc., and all general expenses.
ix) He shall have complete control of the office and staff of the
Association in concurrence with the consent of the Executive
Committee.
The joint secretary shall assist the Secretary in his/her duties and shall act for
his/her absence.
22.TREASURER:
ii. He shall be the custodian of all the moneys and of all the accounts.

iii. He along with the President or the Secretary is entitled to operate the
Bank Account.
v. He shall remit all the amounts received by him in any nationalized bank
account as decided by the Executive Committee and is entitled to retain
a sum of Rs.10,000/- in cash to meet petty expenses.
vi. He is entitled to pay the salaries to the staff or any person employed for
the work of the Association and obtains necessary vouchers.
vii. He shall submit the audited income and expenditure statement every
year in the Annual General Body meeting of the Association.
viii. He will ensure that the monetary transactions, as far as possible are
done through bank accounts and cash transactions are kept to the bare
minimum.
i. The Financial year of the Association shall commence from the 1st
day of April every year and end on the 31st day of March of the
subsequent year.
ii. All the accounts to be audited by two internal Auditors elected by the
Annual General Body Meeting. The auditors shall be independent
officer and shall be answerable only to General Body. They shall
verify all the accounts of the organization and ensure that the funds
of organization are spent only for the achievements of the aims and
objects of the organization and those proper accounts have been
maintained.

iii. Any interim vacancy arising out of the designation are otherwise of
the internal auditors shall be filled up by the co-option the Executive
Committee and other co-opted Auditor shall remain in office until
the next annual General Body Meeting.
The Secretary shall submit to the annual General Body meeting a report of
the work done by the Association, together with the Statement of accounts
showing all monies received and spent during the previous financial year and
a Balance Sheet containing a summary of the assets and liabilities of the
Association and Receipt and Expenditures, Accounts made up to the previous
year ending 31st March duly audited by the Association’s Auditor. A Copy of
the annual Report and the audited balance sheet and Receipt and
Expenditure Account, together with the auditor’s report thereon, signed by
at least two members of the Executive Committee and counter signed by the
Secretary and President shall be sent to every member of the Association not
less than 14 days prior to the Annual General Body meeting.

A copy of the bye-laws of the Association shall be supplied free of charge to all
persons on being admitted as members. Additional copies, if required shall be
supplied to the members, on demand, on payment of Rs.20/- per page copy.
Similarly, additional copies of Balance Sheet and Receipt and Expenses Account
shall also be supplied to members, on demand, on payment of Rs.20/- per copy.
28. SEAL:
The Executive Committee shall provide for the common seal of the Association.
The seal shall be deposited with the President or the Secretary and shall have to
be affixed in the presence of the Secretary in pursuance of the resolution passed
by the Executive Committee or the Association in the General Body meeting.

f) The Executive Committee may at any time call an Extra ordinary General
Body Meeting of the Association and shall call such meeting within one
month from the date of receipt of requisition from at least 1/3 members of
the Association If the Meeting is not called in accordance with such
requisition, the Members shall have power to call such meeting duly
complying with the requirements of the Act.
h) Notice of every such General Body Meetings shall be given to all members
21 days before the meeting. The notice shall contain the day, time and
place and the object of the meeting and in case any amendment of a bye-
law or objects contained in the Memorandum is intended to be proposed,
it shall contain a copy of every such amendment.
i) The notice shall be sent to the members by one or more of the following
viz., either by hand delivery or by circulation or by post the Notice shall also
be affixed to the Notice Board of the Association.
j) SPECIAL RESOLUTION:

VOTE:
a. Every member present at the meeting in person shall have one vote.
Member can appoint a proxy by authorization letter, but the said
proxy is entitled to vote only and has no right to contest for
committee membership or any other position as office bearer.
30.NOTICE TO ASSOCIATION:
b. All flats shall be utilized for private residential purpose only, either
using or letting out any apartment for any non-residential, public or
commercial purpose whatsoever including, but not limited to

d. All owner(s) will inform the Executive Committee prior to letting out
the flat and also provide details of the tenant along with proof of
tenant’s identity. He/she should ensure that tenant abides to the
rules of the Association. Sub-letting of the apartments will be
prohibited.

h. Each member shall give the list of persons who are permanently
residing at the aforesaid address and update whenever there is a
change.
33.RIGHT OF ENTRY:

e. All the repairs of internal installations of the flats such as water, light,
power, sewage, intercom, sanitary installations, doors, windows,
lamps and all other accessories belonging to the flat area shall be at
the expense of the flat owner concerned
i) Water Charges
ii) Common Electricity Charges
iii) Contribution to Repairs and Maintenance Fund
iv) Expenses on repairs and maintenance of the lifts of the association,
including charges for running the lift
v) Contribution to the Corpus Fund
vi) Service Charges if any
vii) Car parking charges if any
viii) Insurance charges
ix) Any other charges as decided and approved in the General Body Meetings.

35.RULES OF CONDUCT:
a. Residents shall exercise extreme care while making noise or the use
of musical instruments, radios, television and amplifiers that may
disturb others. By 10 p.m. noise from entertainment, which is likely
to disturb neighbors, should stop to ensure peaceful co-existence.
Residents keeping domestic animals shall not be allowed.

f. Watering of plants shall be such that it shall not spill or drop down
the balconies.
g. Every vehicle driver shall keep his/her vehicle at safe speed (say 10
KMPH) while driving in the premises of the building
h. Cleaning of balconies by pouring water and letting the water run into
the common area and also any other apartment owner’s area is
prohibited.

l. The car owner’s shall display emblem given by the Association on the
front windscreen of their cars and prominently on the other vehicles.
m. All visitors should register at the security and obtain a visitor’s pass,
which has to be returned to the security.
n. Security will call up the resident and check the authenticity of the
visitor and then issue visitor pass.
o. All the new Tenants / Purchaser have to check for the dues from the
association and obtain No Objection from the Association.
Children should be discouraged from playing in the lift for their own safety.
Smoking inside the lift and in common areas is strictly prohibited. Spitting pan
in the common areas and staircase is prohibited.
36.EXHIBITION OF REGISTERS:
The Members Register, Minutes Books and Books of Accounts shall be kept
at the registered office of the Association during the business hours, for
inspection by members free of charges. A written requisition at least 24 hours
prior to such inspection is necessary and application in this regard be sent to the
secretary for sanction.

38. DISSOLUTION:
The Association may by special resolution, determine that it shall be dissolved and
thereupon it shall stand dissolved forthwith. If upon dissolution and after
satisfaction of all the debts and liabilities of the Association, assets, if any,
remaining in its name shall not be distributed to the members but shall be passed
on to another registered body, having the same or similar objectives, as may be
determined by the Association.
39.RETURNS :
It shall be the duty of the secretary to attend to the preparation and filing
with the authorities concerned of such records, annual or other periodical
statements, which are specified in the Tamil Nadu societies Registration Act,1975
and the rules made there under.
40.MISCELLANEOUS:
i) The Association shall keep the custody of the original title deeds,
sanctioned plan etc., these documents shall be kept in a bank locker,
hired at the cost of Association, which shall be jointly operated by
the president and the secretary.

ii) In respect of matters and things not expressly provided for herein
above the provisions of the Tamil Nadu societies Registration Act,
1975, Tamil Nadu Apartment Ownership Act 1994 and Rules framed
there under shall apply.
