CONTRATO DE MANDATO LEGAL

Among those subscribed to know: A) PACZYNSKI PIOTR KAROL in representation of KING DEVELOPMENT OF NJ LLC.,
adult, domiciled in New Jersey - USA, identified with the passport number 592635722 issued in the United States
of America, hereinafter THE PRINCIPAL and, B) JAMES DAVID ADAMBERRY in representation of AA FUTURE GMBH,
adult, domiciled in Frankfurt (Germany), identified with the passport number 123238281, issued in United Kingdom
and MOHD. YASEEN MIR in representation of FINEXIC VENTURES LLC-FZ, adult, domiciled in Dubai (UAE), identified
with passport number V2157445 issued in the Republic of India, hereinafter and jointly THE AGENT, we have agreed
to subscribe this mandate contract that will be governed by the following clauses and in what is not provided for in
them, by the provisions applicable of the International Commercial and Civil Laws to the matter covered by this
contract.
Entre los suscritos a saber: A) PACZYNSKI PIOTR KAROL en representación de KING DEVELOPMENT OF NJ LLC., mayor
de edad, domiciliado en Nueva Jersey - EUA, identificado con el pasaporte número 592635722, expedido en los
Estados Unidos de América, en adelante EL MANDANTE y B) JAMES DAVID ADAMBERRY en representación de AA
FUTURE GMBH, mayor de edad, domiciliado en Frankfurt (Alemania), identificado con el pasaporte número
123238281, expedido por Reino Unido y MOHD. YASEEN MIR en representación de FINEXIC VENTURES LLC-FZ, mayor
de edad, domiciliado en Dubai (EAU), identificado con el pasaporte número V2157445 expedido por la República de
India, en adelante y de manera conjunta EL MANDATARIO, hemos acordado suscribir el presenta contrato de
mandato que se regirá por las siguientes cláusulas y en lo no previsto en ellas por las leyes Internacionales
Comerciales y Civiles aplicables a este contrato.

CLAUSES
CLÁUSULAS

FIRST – OBJECT OF THE CONTRACT: The object of the contract consists of the supply of financial resources and their
administration for future financial operations up to the amount of EUROS € 20.000.000. (Twenty millions Euros), for
which THE PRINCIPAL authorizes THE AGENT through the present contract, so that in his name and representation,
to take the necessary course of action and procedures to manage his financial resources amounting to the
mentioned amount that will come by tranches from the Bank: HSBC TRINKAUS & BURKHARDT AG, account number:
2500012154 , Address: HANSAALLEE 3, 40549 DÜSSELDORF, GERMANY, Telephone:___________, e-mail:
_____________________, name of bank officer: TBD, being concept of ______________________In order to
negotiate the CURRENCIES resulting from this contract, THE AGENT must deliver the supporting documents
corresponding to each negotiation to THE PRINCIPAL.
PARAGRAPH.- The contracting parties agree that THE AGENT will not receive transfers from other bank accounts
than the one mentioned in this Clause without prior written agreement between the contracting parties. Likewise,
it is established that the operation or transfer that THE PRINCIPAL makes to THE AGENT'S account must carry the
code 982 (For example: € XXX,XXX,982).
PRIMERA.- OBJETO DEL CONTRATO: El objeto del contrato consiste en el aprovisionamiento de recursos financieros y
su administración para futuras operaciones financieras hasta por la suma de VEINTE MILLONES DE EUROS (€
20.000.000), para lo cual EL MANDANTE faculta a EL MANDATARIO para que en su nombre y representación lleve a
cabo todas las diligencias y gestiones necesarias para administrar sus recursos financieros por la cantidad
mencionada, los cuales provienen del Banco: HSBC TRINKAUS & BURKHARDT AG, número de cuenta: 2500012154,

_____________________________, Para negociar las DIVISAS producto de este contrato, debiendo entregar EL
MANDATARIO los soportes correspondientes de cada negociación a EL MANDANTE.
PARÁGRAFO.- Las partes contratantes acuerdan que EL MANDATARIO no recibirá transferencias procedentes de
cuentas bancarias diferentes a la mencionada en la presente Cláusula sin previo acuerdo escrito entre las partes
contratantes. Así mismo, se establece que operación o transferencia que haga EL MANDANTE a la cuenta de EL
MANDATARIO deberá llevar el código 982 (Por ejemplo: € XXX.XXX.982).
SECOND – POWERS OF THE AGENT: THE AGENT is empowered to carry out, on behalf of THE PRINCIPAL, all the acts
necessary for the effective fulfillment of his assignment, understanding for such all those that imply the following:
1. Request, carry out and promote all kinds of necessary procedures and actions for the obtaining and custody
of the currencies described in the first clause.
2. Any other act or procedure that is considered convenient or necessary to the management of the interests
of the principal, within the strictly legal.
3. In general, fulfill the order, adhering to the provisions and orders and instructions given by THE PRINCIPAL.
SEGUNDA.- FACULTADES DE EL MANDATARIO: EL MANDATARIO queda facultado para realizar en representación de EL
MANDANTE todos los actos necesarios para el efectivo cumplimiento de su encargo, entendiéndose por tales todos
aquellos que impliquen lo siguiente:
1. Solicitar, realizar e impulsar toda clase de trámites y actuaciones necesarias para la obtención y custodia de
las divisas descritas en la cláusula primera.
2. Cualquier otro acto o trámite que se considere conveniente o necesario para la gestión de los intereses de
EL MANDANTE, dentro del marco estrictamente legal.
3. En general, cumplir el encargo, ciñéndose a las disposiciones y órdenes e instrucciones que le imparta EL
MANDANTE.
THIRD – OBLIGATIONS OF THE PRINCIPAL:
1. THE PRINCIPAL has to pay for the services provided by THE AGENT, in accordance with the entrusted
management and what is written in this contract.
2. THE PRINCIPAL has to provide the information required by THE AGENT for the development of his
management.
3. THE PRINCIPAL undertakes to make the money deposits referred in this contract in the following bank
account whose complete data is contained in the AA FUTURE GMBH Customer Information Sheet attached

TERCERA.- OBLIGACIONES DE EL MANDANTE:
1. EL MANDANTE se obliga a pagar los servicios prestados por EL MANDATARIO de acuerdo con la gestión
encomendada y lo escrito en el presente contrato.
2. EL MANDANTE se obliga a suministrar la información que requiera EL MANDATARIO para el desarrollo de su
gestión.
3. EL MANDANTE se obliga a realizar los depósitos de dinero a que se refiere este contrato en la siguiente
cuenta bancaria, cuyos datos completos se encuentran en la Hoja de Información de Cliente de AA FUTURE

FOURTH – OBLIGATIONS OF THE AGENT:
1. AA FUTURE GMBH undertakes to have the bank account mentioned in Section 3. of the Third Clause
available to THE PRINCIPAL for the receipt of the economic resources referred to in this contract.
2. FINEXIC VENTURES LLC-FZ will manage the financial resources and assume legal, civil and economic
responsibility for the operations it executes with the resources of THE PRINCIPAL in the development of this
contract.
3. THE AGENT has to present a detailed report on the status of the object of this contract and the procedures
carried out.
4. The investment costs such as: photocopies, telephone calls, letters, telegrams, records, mobilizations,
policies, movements, notifications, fees to researchers, visitors, will be paid in full by THE PRINCIPAL.
5. The value of this contract is stipulated by a mutual agreement between the parties including the
remuneration of THE AGENT.
CUARTA.- OBLIGACIONES DE EL MANDATARIO.
1. AA FUTURE GMBH se compromete a tener a disposición de EL MANDANTE la cuenta bancaria mencionada
en el Numeral 3. de la Cláusula Tercera para la recepción de los recursos económicos a que se refiere este
contrato.
2. FINEXIC VENTURES LLC-FZ hará la administración de los recursos financieros y asumirá la responsabilidad
jurídica, civil y económica de las operaciones que ejecute con los recursos de EL MANDANTE en desarrollo
de este contrato.
3. EL MANDATARIO se compromete a presentar un informe detallado sobre el estado del objeto del presente
contrato y las gestiones realizadas.
4. Los costos de la inversión, tales como: fotocopias, llamadas telefónicas, cartas, telegramas, registros,
movilizaciones, pólizas, desplazamientos, notificaciones, honorarios a investigadores, visitadores, serán por
cuenta en su totalidad de EL MANDANTE.
5. El valor del presente contrato se estipula de mutuo acuerdo entre las partes incluida la remuneración de EL
MANDATARIO.
FIFTH.- REMUNERATION OF THE MANDATOR AND METHOD OF PAYMENT: THE PRINCIPAL will recognize as
remuneration to THE AGENT the sum of money agreed upon by the contracting parties on the value of the
negotiation and which will be recorded in a separate document that signed by them will form an integral part of this
contract, which will be paid each time THE AGENT carries out the management of the respective tranche.
QUINTA.- REMUNERACIÓN DE EL MANDATARIO Y FORMA DE PAGO: EL MANDANTE reconocerá como remuneración a
EL MANDATARIO la suma de dinero que acuerden las partes contratantes sobre el valor de la negociación y que
constará en documento separado que suscrito por ellas formará parte integrante de este contrato, la cual será
pagada cada vez que EL MANDATARIO realice la gestión sobre la respectiva trancha.
SIXTH – DISBURSEMENTS OF MONEY: THE PRINCIPAL delivers to THE AGENT the respective necessary disbursements
such as ACH transfers and check to fulfill the order. THE AGENT must present a report journal of the status of the
processing of each operation pending to be closed.

SEXTA.- DESEMBOLSOS DE DINERO: EL MANDANTE le hace entrega a EL MANDATARIO de los desembolsos respectivos
necesarios como son transferencias ACH y cheques para cumplir con el encargo. EL MANDATARIO deberá presentar
un informe diario del estado del trámite de cada operación pendiente de cerrar.
SEVENTH – DURATION OF THE CONTRACT: The contract will be for an indefinite term, THE PRINCIPAL or THE AGENT
may terminate it at any time by written communication addressed to the other party with no advance notice less
than thirty (30) calendar days, without any payment of damages, delivering 100% of the money given, including
unearned remunerations.
SÉPTIMA.- DURACIÓN DEL CONTRATO: El contrato será a término indefinido, pudiendo EL MANDANTE o EL
MANDATARIO terminarlo en cualquier tiempo mediante comunicación escrita dirigida a la otra parte con una
antelación no inferior a treinta (30) días calendario, sin que haya lugar al pago de perjuicios, haciendo entrega del
100% del dinero entregado incluidas remuneraciones no causadas.
EIGHTH – LIMITATION OF LIABILITY: THE AGENT will only be responsible for the damages caused to THE PRINCIPAL
under of an error attributable to negligence. THE PRINCIPAL will be responsible for the information that it provides
to THE AGENT, who will not be responsible for damages suffered by THE PRINCIPAL caused by the bad information
that this one supplies.
OCTAVA.- LIMITACIÓN DE LA RESPONSABILIDAD: EL MANDATARIO sólo será responsable por los daños que ocasione a
EL MANDANTE en virtud de un error atribuible a negligencia. EL MANDANTE será responsable por la información que
suministre a EL MANDATARIO, quien no será responsable por daños sufridos por EL MANDANTE causados por la mala
información que éste suministre.
NINTH – COMPROMISORY CLAUSE: Any difference that arises from the execution or interpretation of this contract,
it will be resolved by an Arbitration Court that will be appointed and processed by the Arbitration and Conciliation
Center of the International Chamber of Commerce based in Paris. The Court thus constituted will rule on Law.
NOVENA.- CLÁUSULA COMPROMISORIA: Cualquier diferencia que se suscite por la ejecución o interpretación del
presente contrato, será solucionada por un Tribunal de Arbitramento que será nombrado y tramitado por el Centro
de Arbitraje y Conciliación de la Cámara de Comercio Internacional con sede en París. El Tribunal así constituido
fallará en derecho.
