Internship Agreement

This Internship Agreement ("Agreement") is entered into on this date May 20, 2024, (the

"Effective Date") by and between:

CreaTech Motives Afrika LLC, with its principal place of business at Hillcrest, Room 101, CNC

1st Street, Centre for National Culture Compound, Cape Coast, CC-122-3078, Ghana, hereinafter

referred to as the "Company."

and ............................................................................................., an individual residing at

…………………………………………………………………………., hereinafter referred to as

the "Intern."

The Intern acknowledges that Algo Peers is a project of the Company, CreaTech Motives Afrika

LLC.

Terms of Internship

This drafted letter is the principal document relating to your internship, including roles and

notice provisions. Kindly read it carefully, as it may form the contract between Createch Motives

Afrika Limited (a legally registered tech startup company in Ghana and parent company to Algo

Peers) and yourself.

This contract contains the details relating to your internship, including the date the work is to

commence, the duration or likely duration of the work; the type of work; and any information

associated with the responsibilities of your position as an Intern for the company.

1. Internship Roles and Responsibilities

The Intern shall assume the role of Technical Support Intern and shall undertake the following

responsibilities:

● Provide technical support to kids using our coding platform and physical computing kits.

This may involve answering questions via chat and email.

● Research and troubleshoot technical issues related to coding (python) syntax, hardware

functionality, software installation, and platform navigation.

● Develop clear and concise explanations of technical concepts in a way that is easy for

kids to understand.
● Maintain a positive and encouraging attitude when interacting with kids, fostering a love

of learning and problem-solving.

● Document technical issues and solutions for future reference and knowledge sharing

within the team.

● Assist in creating and maintaining knowledge base articles related to frequently

encountered technical issues or learning experiences.

● Stay up-to-date on the latest features and functionalities of our platform and physical

computing kits.

2. Duration of Internship:

The internship shall commence on May 20, 2024, and continue for a duration of two (2) months.

This period includes one (1) month and two (2) weeks of effective work, followed by two (2)

weeks dedicated to review and evaluation.

3. Work Arrangements:

The Intern shall complete onboarding and start work on May 20, 2024. The Intern shall be

provided access to Slack for communication purposes.


4. Compensation:

This is a non-paid internship hence, the Company will not be providing any monetary

compensation. The Intern's participation in this internship is voluntary and driven by a desire to

gain practical experience in the field.

5. Intellectual Property Ownership:

All intellectual property rights arising from the program, including but not limited to

information, ideas, research, inventions, plans, reports, code, trademarks, copyrights, patents,

trade secrets, or any other related intellectual property, shall be the exclusive property of Algo

Peers, subject to the provisions of the Copyright Act, 2005 (Act 690) and the Trade Marks Act,

2004 (Act 664) of the Republic of Ghana.

As an Intern, you agree not to use or exploit any such intellectual property rights without the

prior written consent of Algo Peers and in accordance with the provisions of the Copyright Act,

2005 (Act 690) and the Trade Marks Act, 2004 (Act 664) of the Republic of Ghana.

You also agree that any intellectual property provided to you by the Company will remain the

sole property of the Company, including, but not limited to, copyrights, patents, trade secret

rights, and other intellectual property rights associated with any ideas, concepts, techniques,
inventions, processes, works of authorship, confidential information, or trade secrets.

6. Termination

Either party may terminate this Agreement with a written notice of [Notice Period]. The

Company reserves the right to terminate the internship at any time for reasons including, but not

limited to, unsatisfactory performance or violation of Company policies.

7. General and Miscellaneous Provisions

In the event of any dispute arising out of or in connection with this Agreement, both parties agree

to settle it in good faith and in accordance with the provisions of the Alternative Dispute

Resolution Act, 2010 (Act 804). Where it is agreed to terminate the agreement, both parties agree

to finalize the implementation of program activities wherever possible without disruption to the

learners and instructors participating.


8. Confidentiality:

The Intern agrees to maintain the confidentiality of any proprietary information or trade secrets

of the Company obtained during the course of the internship. The Intern agrees to maintain

confidentiality even after the course of this internship.

9. Entire Agreement

The Parties acknowledge and agree that this Agreement represents the entire agreement between

the Parties. In the event that the Parties desire to change, add, or otherwise modify any terms,

they shall do so in writing to be signed by both parties.

10. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of Ghana.
IN WITNESS WHEREOF, the Parties hereto have executed this Internship Agreement as of the

Effective Date.
